Guilherme Chagas Gerdau Johannpeter Chairman

Education: Mr. Johannpeter earned a bachelor’s degree in Law from Unisinos in 1995 and an MBA in Marketing and Finance from the Kellogg School of Management, in Illinois (United States).

Professional Experience: He has worked at Gerdau for over 37 years. He served as a Vice-President of the Gerdau Executive Committee (Comitê Executivo Gerdau, CEG), coordinating the Special Steel Business Operation, the Latin American Business Operation, and the actions arising from the Gerdau 2022 Project – Strategy (2014-2017). He was the Vice Chairman of the Board of Directors of Gerdau S.A. and of Metalúrgica Gerdau S.A., a publicly held holding company with a controlling interest in Gerdau S.A. (2018-2020). He is currently (i) the Chairman of the Board of Directors of Gerdau S.A. and a member of its advisory committees; (ii) the Chairman of the Board of Directors of Metalúrgica Gerdau S.A., a publicly held holding company with a controlling interest in Gerdau S.A.; (iii) a Board member of Gerdau Previdência; (iv) a Board member of the Instituto Gerdau; (v) a Board member of the Institute for Studies in Industrial Development (Instituto de Estudos para o Desenvolvimento Industrial, IEDI); and (vi) a member of the Global Advisory Board (GAB) of Kellogg Northwestern.

André Bier Gerdau Johannpeter Vice-Chairman

Education: Degree in Business Administration from the Pontifíca Universidade Católica do Rio Grande do Sul (PUC — RS). Studied General Business Administration at the University of Toronto (Canada), Marketing at the Ashridge Business School (UK), and Advanced Management at the Wharton School, University of Pennsylvania (United States).

Professional Experience: Has 40 years of experience at Gerdau and held the position of Chief Executive Officer (CEO) (2007-2017). He was President of the Worldsteel Association (2018-2019). Currently is (i) Vice Chairman of the Board of Directors of Gerdau SA, and member of its advisory committees, (ii) Vice Chairman of the Board of Directors and Metalúrgica Gerdau SA, a listed company, holding company of Gerdau S.A., (iii) Board member of the Executive Committee of the Worldsteel association, (iv) Board Member of Directors of Instituto Aço Brasil (Brazilian Steel Institute), (v) Board Member of Alacero (Latin American Steel Association), (vi) Vice Chairman of the Federation of Industries of São Paulo – FIESP, (vii) Vice Chairman of the Federation of Industries of Rio Grande do Sul – FIERGS and (viii) Board Member of Transforma RS.

Claudio Johannpeter Vice-Chairman

Education: Mr. Johannpeter holds a bachelor’s degree in Metallurgical Engineering from the Federal University of Rio Grande do Sul (UFRGS). In addition, he has studied Operations Management at the University of London (Canada) and Executive Development at Penn State (United States) and completed an Advanced Management Program at Harvard (United States).

Professional Experience: He has worked at Gerdau for 40 years and was its Chief Operating Officer between 2007- and 2012. In December 2017, he resigned his executive roles at the Gerdau Executive Committee (Comitê Executivo Gerdau, CEG) where he used to be in charge of the Brazil Long Steel Business Operation and Global Engineering, Industry, and Health & Safety Processes. He served as Chairman of the Board of Directors of Gerdau S.A. (2015–2020), and Metalúrgica Gerdau S.A.(2016–2020), a publicly held holding company with a controlling interest in Gerdau S.A. He currently holds the positions of (i) Vice-Chairman of the Board of Directors of Gerdau S.A. and member of its advisory committees and (ii) Vice-Chairman of the Board of Directors of Metalúrgica Gerdau S.A.

Gustavo Werneck da Cunha Board Member

Education: Mr. da Cunha holds a bachelor’s degree in Mechanical Engineering from the Federal University of Minas Gerais (UFMG). ), an MBA degree in Project Management from Fundação Getulio Vargas (Brazil), an MBA in General Business Administration from INSPER Business School (Brazil), a certificate in Leading Change and Organizational Renewal from Harvard Business School (United States), and a certificate in Advanced Corporate Finance from the London Business School (UK).

Professional Experience: He has worked at Gerdau for 18 years. He served as an Executive Officer at Gerdau Aços Longos e Planos in Brazil, Chief Industrial Officer at Gerdau India, and Chief Information Officer (CIO) at Gerdau. Since January 2018, he has been the of Gerdau S.A. and the of Metalúrgica Gerdau S.A., a publicly held holding company with a controlling interest in, Gerdau S.A. He is also, a Board member of Gerdau S.A., and Metalúrgica Gerdau S.A., and the Chairman of the Board of Directors of Seiva S.A. — Florestas e Indústrias, a company that is part of Gerdau’s business group. In addition, he serves as a Board member of Instituto Aço Brasil and Juntos Somos Mais.

Claudio Antonio Gonçalves Independent Board Member

Education: Graduated in Law from UniEvangélica and graduated degree in Public Law from Universidade de Rio Verde (FESURV / Axioma Jurídico), and an MBA in Financial Business from Universidade Federal do Rio de Janeiro (UFRJ).

Professional Experience: He has experience in asset and investment management, with solid expertise in private banking (both onshore and offshore), retail banking, and closed complementary pension. He has been working at Banco do Brasil since 2005, holding positions such as High Income Relationship Manager (2005-2007), Market Analyst (2007- 2010), Business Manager at Private Office in São Paulo/SP (2010-2013), General Manager at Private Office in Brasília/DF (2013-2017), Executive Manager (2017-2020), and General Manager in Miami/USA (2020-2023). He currently holds the positions of Investment Director of the Pension Fund for Employees of Banco do Brasil – PREVI, and Member of the Board of Directors of Concessionária do Aeroporto de Guarulhos – GRU.

Claudia Sender Ramirez Independent Board Member

Education: Ms. Ramirez holds a bachelor’s degree in Chemical Engineering from the Polytechnic School of the University of São Paulo (USP) and an MBA degree from Harvard Business School (United States).

Professional Experience: She worked at Latam Airlines Brasil from 2011 through 2019 and, in the last five years of this period, she served as CEO at Latam Airlines Brasil and Vice-President of Customers at the Latam Airlines Group. She currently holds the positions of Board member of Gerdau S.A. Metalúrgica Gerdau S.A., a publicly held holding company with a controlling interest in Gerdau S.A.; Embraer S.A.; Holcim (Switzerland); Telefonica (Spain). In addition, she serves at the boards of non-profit organizations such as Amigos do Bem, Hospital Israelita Albert Einstein, and Gastromotiva.

Alberto Fernandes Independent Board Member

Education: Mr. Fernandes holds a bachelor’s degree in Mechanical and Production Engineering from the Polytechnic School of the University of São Paulo – USP (1986).

Professional Experience: He started his career in the financial market in 1986. He served as a Commercial Officer at Crédit Commercial de France (1989–1997); a Commercial Officer at Lloyds Bank (1997–1999); and an Executive Vice-President at Itaú BBA (1999–2019). He currently holds the positions of (i) Board member of Gerdau S.A.; (ii) Board member of Metalúrgica Gerdau S.A., a publicly held holding company with a controlling interest in Gerdau S.A.; (iii) Senior Advisor at Morgan Stanley Brazil; (iv) Board member of Direcional Engenharia (DIRR3) and JHSF (JHSF3); (v) Board member of COPERSUCAR S.A.; (vi) Chairman of the Board of Directors of Fulwood Logistica; (vii ) Senior Financial Advisor at Bracell Brasil Cia de Papel e Celulose; (viii) Board member of CIVI-CO Hub de Impacto Social; and (ix) Executive Director of Museu de Arte de São Paulo (MASP).

Fiscal Council

Bolívar Charneski Sitting Member

Education: Mr. Charneski earned a bachelor’s degree in Accounting in (1974) and participated in a professional exchange program at PricewaterhouseCoopers, in Atlanta, Georgia (United States).

Professional Experience: He was a founder and partner of Charneski, Consultoria S/S LTDA (1988–2009, Charneski – Auditores & Consultores), a company headquartered in the city of Porto Alegre – RS, where he was the technical lead for independent auditing and consulting services. Since 2009, he has provided advisory and consulting services to companies and organizations on Governance, Boards, Management, Accounting, and Tax. He holds a Board member certification from the Brazilian Corporate Governance Institute (Instituto Brasileiro de Governança Corporativa IBGC), where he served as a member of the South Chapter Coordination Committee. He was the first person in Brazil to be nominated as an Acting Partner of Price Waterhouse (1971–1988), where he was also one of the founders of the Accounting and Auditing Commission. He was a director of the Institute of Independent Auditors of Brazil (Instituto dos Auditores Independentes do Brasil, IBRACON) for several terms, having presided over the 6th Regional Section and served as a nationwide director at IBRACON for two terms. In addition, he held the positions of member of the fiscal council ofGrendene S.A. (2011–2013), Forjas Taurus S.A. (1998–2007), and Metalúrgica Gerdau S.A. (2017–2020). He is currently a member of the Fiscal Council of Gerdau S.A and has been a SOX Financial Expert since 2011.

Elvira Baracuhy Cavalcanti Presta Sitting Member

Education: She holds both Bachelor’s and Master’s degrees in Business Administration (UFPE). She has also completed the MBA Advanced Boardroom Program for Women and SEER – Advanced Program for CEOs, Board Members, and Presidents, by Saint Paul School of Business. I addition, she has taken the Board of Directors Course from Brazilian Institute of Corporate Governance and participated in various executive education programs at business schools in Brazil and abroad.

Professional Experience: In 2018, she was elected as an independent Board Member and member of the Statutory Audit and Risk Committee of the former state-owned company Eletrobras. She served as the CFO and IR of the company (2019-2023), being one of the leaders of its recovery and its privatization process, which occurred with the global public offering of shares (follow on) of R$ 33.7 billion in June 2022. She also served as interim president of Eletrobras (from March to May 2021). Furthermore, she presided over the Boards of Directors of three controlled companies: Chesf, CGT Eletrosul, and Santo Antônio Energia. Previously, she was the Executive Director of Planning and Control of Neoenergia, Fiscal Board Member of Norte Energia (UHE Belo Monte), Financial Director of MRS Logística, and Controller of Light, among other positions. She is currently a member of IBGC – Brazilian Institute of Corporate Governance, the NYSE Board Advisory Network, WCD – Women Corporate Directors, and the Board of Directors of IBEF-SP.

Denisio Augusto Liberato Delfino Sitting Member

Education: He holds Bachelor’s degree in Economics from Universidade Federal de Viçosa, and Master’s and Doctorate degrees in Economics from the Fundação Getúlio Vargas (FGV).

Professional Experience: He has been working at Banco do Brasil since 2008, where he held positions as an Economist and Strategist in Private Banking (2008-2012), Executive Manager of the Corporate Governance Board (2015-2017), Executive Manager in the Capital Market Board (2017-2020), Director of Participations at Previ (2020-2022), and Investment Director at Previ (2022-2023). He also worked at the Secretariat of Economic Policy of the Ministry of Finance (2013-2017) and was a Member of the Board of Directors at GRU Airport (2023-2024). Currently, he is (i) a Full Member of the Board of Directors and the Sustainability Committee of Neoenergia, (ii) Representative of Latin America on the Council of Principles for Responsible Investment, (iii) Vice-President of Anbima, and (iv) CEO of BB Asset Management.

Herculano Aníbal Alves Alternate Member

Education: Mr. Alves holds a bachelor’s degree in Economics from PUC–SP; a graduate degree in Financial Management from Fundação Getulio Vargas; a master’s degree in Finance and Investments from EAESP–FGV; a Governance, Risk, and Compliance certificate from the Risk University — KPMG; a Portfolio Manager certificate from CVM; and a professional certification from ANBIMA (CGA). In addition, he took an Audit Committee course held by the IBGC.

Professional Experience:He worked in the financial market, as an Investment Officer, Equity Portfolio Manager, Investment Analyst, and Credit Analyst at Bradesco Asset Management (BRAM), ABN AMRO Bank, Unibanco, and Banco Bozzano Simonsen, and in the administrative and financial area at Vila Carrão, a bus company. He was a Board member of the Value and Liquidity Fund of Bradesco Templeton (1998–2001), a board member of GP’s Technology Private Equity Fund (2001–2005), a member of the Fiscal Council of Gerdau S.A. (2017–2018), a member of the Fiscal Council of Grupo Fleury and Ecorodovias (2018–2019), an alternate member of the Fiscal Council of 2bcapital’s Private Equity Fund (2013–2019), and a Partner at Araxá Investimentos (2015–2016). He currently holds the positions of member of the Board of Directors of Tim Brasil and Marfrig Brasil Foods; member of the Fiscal Council of Cielo, Grendene, Metalúrgica Gerdau; alternate member of the Fiscal Council of Gerdau S.A.; and Partner at Barigui Gestão de Recursos.

João Odair Brunozi Alternate Member

Education: Mr. Brunozi holds a bachelor’s degree in Accounting, graduate degrees in Tax Law and Financial Management, and an MBA degree in Finance from IBMEC–SP. In addition, he has been certified as a Fiscal Council Member by the IBGC.

Professional Experience: He started his career at Price Waterhouse Auditores Independentes as a trainee and was an auditor for seven years. He has solid experience in Controllership and Finance, having working as a Controller and CFO for over thirty years in large manufacturing industries. He was a Financial Planning and Financial Analysis Manager at São Paulo Alpargatas for two years. In 1985, he joined Grupo Villares, where he worked as a Tax Planning Manager and Controller of several companies in the group and the holding company, for twenty years, five of which he also served as an Investor Relations Manager. He was a Board member of several subsidiaries and an Officer (Treasurer) of a subsidiary in the United States. At Grupo Gerdau, which he joined through the merger of Aços Villares in early 2006, he held the positions of CFO of Aços Villares and Controller (CFO) of Gerdau Diaco (in Colombia). He was CFO of Cecil S.A . Laminação de Metais (2017–2019). He currently holds the positions of (i) Chairman of the Fiscal Council of Concessionária Aeroporto do Rio de Janeiro S.A. (Tom Jobim Airport), (ii) sitting member of the Fiscal Council of Metalúrgica Gerdau S.A., (iii) alternate member of the Fiscal Council of JHSF Participações S.A., and (iv) and alternate member of the Fiscal Council of Gerdau S.A.

Marcelo Rodrigues de Farias Alternate Member

Education: Mr. de Farias holds a bachelor’s degree in Data Processing from Universidade Veiga de Almeida, an MBA in Corporate Finance from Universidade Cândido Mendes, and a master’s degree in Business Administration from IBMEC –RJ.

Professional Experience: He has experience in Finance, Business & Project Valuation, ESG, Credit Analysis and & Structured Operations, Strategic Planning, Corporate Governance, and Organizational Consulting. He served as Manager of the Credit Analysis Division (2013-2019) and Executive Manager of Governance, Regulation, and Compliance at BB DTVM (2019–2020). He currently holds the positions of (i) Executive Manager of Domestic Investment Analysis and Allocation at BB DTVM, (ii) Board member of the Association of Capital Markets Investors (Associação de Investidores no Mercado de Capitais, AMEC Brasil), and (iii) Collaborator Professor at IBMEC Online.

Rafael Dorneles Japur Vice-President

Education: Mr. Japur holds a bachelor’s degree in Business Administration and a graduate degree in Economics from the Federal University of Rio Grande do Sul (UFRGS — Brazil).

Professional Experience: Mr. Japur started his career at Gerdau in 2005 as an intern in the Planning area. In 2006, he participated in a trainee program held by the Planning and Management department. In 2015, he was promoted to Business Development Manager. In addition, a year later, he took charge of the debt and capital market management process in the Financial department. In 2018, he assumed the position of Planning, IT & Innovation Manager at Gerdau Diaco and Gerdau Metaldom, in Colombia. In 2020, he returned to Brazil to serve as General Manager in the ​​Financial Operations department. He currently holds the position of Executive Vice-President of Finance and CFO and is, responsible for the Finance, Accounting, and Tax departments. He is also an Investor Relations Officer at Gerdau S.A., Metalúrgica Gerdau S.A., and Seiva S.A. – — Florestas e Indústrias, ; a Vice-President of Gerdau S.A. and Metalúrgica Gerdau S.A.; and a Board Member of Seiva S.A. — Florestas e Indústrias.

Marcos Eduardo Faraco Wahrhaftig Vice-President

Education: Mr. Wahrhaftig holds a bachelor’s degree in Mechanical Engineering from the Federal University of Paraná (UFPR), an MBA from the Manchester Business School (UK) and has studieda graduate degree in Corporate Finance from ISAE/ FGV.

Professional Experience: He has 27 years of professional experience, 19 of which at Gerdau. In recent years, he has served as Commercial Officer at Gerdau Aços Especiais; Corporate Commercial Officer; Commercial Officer at Comercial da Gerdau Aços Brasil; and Vice -President of the operations in Brazil, Argentina, and Uruguay. In addition, he is a member of the Board of Directors of Instituto Aço Brasil, where he also served as Charmain for the 2021–22 period. He was a member of the FIESP/ Consic N — Construction Sector Council; a Board member of the Brazilian Association of the Construction Materials Industry – (Associação Brasileira dos Fabricantes de Materiais de Construção, ABRAMAT); member of the Strategy Council of the Federation of Minas Gerais’ Industries (Federação das Indústrias do Estado Minas Gerais, FIEMG); Vice-Chairman of the Board of Directors of the Brazilian Metallurgy, Materials and, Mining Association (Associação Brasileira de Metalurgia, Materiais e Mineração;o, ABM); and a board member of the Latin American Steel Association ( Asociación Latinoamericana del Acero, Alacero). He currently holds the position of Vice-President of Strategy at Gerdau.

Mauricio Metz Vice-President
Cesar Obino da Rosa Peres Officer

Education: Mr. Peres holds a degree in Business Administration from Faculdade de Ciências Econômicas, Contábeis e Administração Prof. de Plácido e Silva, in the city of Curitiba-PR, and a graduate degree in Business Administration from Universidade Presbiteriana Mackenzie, in São Paulo-SP.

Professional Experience: He has worked at Gerdau for over 38 years. He served as a Sales and Marketing Manager at the Gerdau operation in Mexico (2010–2012) and as a Sales and Marketing General Manager at the Gerdau operation in Colombia (2013–2014), where he was later promoted to Chief Executive Officer and remained until late 2016. He currently holds the position of Commercial Officer at the Gerdau Aços Brasil (GAB) division.

Flavia Dias da Silva de Souza Officer

Education: She holds a Bachelor’s degree in Chemical Engineering from Universidade Federal do Rio de Janeiro, an MBA in Business Management from the Fundação Getúlio Vargas, and an MBA in Finance from IBMEC.

Professional Experience: She worked at Shell as the Purchasing Manager for Operations in South America (2004-2007), and as the Corporate Purchasing Manager for the Latin America region (2007-2011). She also worked at Vale as the Global Purchasing Manager (2011-2018), General Manager of Global Purchasing (2018-2021), and in Strategy, New Business, and Management of Renewable Energy Assets (2021). She was a Full Member of the Board of Directors of Aliança Geração and Consórcios de Energia (2021-2022). Currently, she is (i) the Global Supply Director at Gerdau S.A. and (ii) a Member and President of the Board of DFESA (Usina Hidrelétrica de Dona Francisca).

Wendel Gomes da Silva Officer

Education:Mr. da Silva holds a bachelor’s degree in Metallurgical Engineering from the Federal University of Minas Gerais (Brazil, 1998), MBAs in Business Management from the Erasmus University in Rotterdam (Netherlands, 2004) and Fundação Dom Cabral (Brazil , 2009) and a graduate degree in Marketing from the Federal University of Minas Gerais (Brazil, 2002).

Professional Experience: He has 25 years of professional experience, 11 of which at Gerdau, where he served as a General Commercial Manager, a General Commercial and Logistics Manager, a General Industrial Manager, and an Executive Manager, all in the Mining area. He currently holds the positions of Mining & Raw Materials Officer of the Company, Board member at MRS, and Mmember of World Steel Association’s Raw Materials Committee.

Aldo Tapia Castillo Officer

Education: Degree in Industrial Engineering from the San Agustín National University (Peru), with an MBA from the CENTRUM Business School (Perú) and has studied an Advanced Management Program at Columbia University (New-York USA), a Senior Management and Innovation Program at Berkeley University of California (California-USA) and a Digital Transformation Program at Massachusetts Institute of Technology MIT (USA).

Professional Experience: He has 23 years of experience, with 16 years in Gerdau. In the last years he has held positions of Executive Director at Gerdau Siderperu – Peru, COO Chief Operating Officer, Logistic Manager and Sales Manager of Gerdau Siderperu; Also he was member of the board of Gerdau Siderperu thin 2020-2023 and member of Alacero (Associação Latino-americana do Aço). Currently holds the position of (i) Executive Director at Gerdau Special Steel Brasil and (ii) Member of the board of Gerdau Summit.

Carlos Eduardo Vieira da Silva Officer

Education: He holds a Bachelor’s degree in Mechanical Engineering from the Universidade Federal de Minas Gerais  (UFMG), an MBA in Finance from the Instituto Brasileiro de Mercado de Capitais (IBMEC), and an MBA in Business Administration and Management from the Instituto de Ensino e Pesquisa (INSPER).

Professional Experience: He has 24 years of experience at Gerdau, where he has held positions such as Regional Manager of Raw Materials (2010-2015), Executive Manager at Gerdau Florestal (2015-2018), Executive Manager of Raw Materials and Silviculture (2018-2020), and Director of Raw Materials and Silviculture (2020-2024). He was a Member of the Deliberative Council of the Associação Mineira da Indústria Florestal – AMIF (2015-2018). He is currently the Commercial Director at Gerdau.
